These Terms of Service ("Terms") govern your access to and use of the AudioPads application ("App"), including the iOS and macOS versions, operated by Nick Nimmin, LLC ("Company," "we," "our," or "us").

By downloading, installing, or using the App, you agree to be bound by these Terms. If you do not agree to these Terms, you may not use the App.

1. Eligibility

You must be at least 13 years old to use the App. If you are under the age of 18, you must have permission from a parent or legal guardian.

By using the App, you represent and warrant that you meet these eligibility requirements.

2. License to Use the App

Subject to your compliance with these Terms, Nick Nimmin, LLC grants you a limited, non-exclusive, non-transferable, revocable license to download and use AudioPads for personal or commercial purposes on devices you own or control, in accordance with Apple's App Store Terms.

This license does not transfer ownership of the App or any intellectual property contained within it.

You may not:

• Copy or reproduce the App except as permitted by Apple device backup systems
• Modify, adapt, reverse engineer, decompile, or disassemble the App
• Create derivative works of the App
• Resell, sublicense, or distribute the App without permission
• Use the App in any unlawful manner

3. App Functionality

AudioPads is a digital soundboard application designed to allow users to trigger and play audio clips.

Features may include but are not limited to:

• Playing sound effects or audio clips
• Importing custom audio
• Organizing sounds into pads or collections
• Triggering audio during live streams, recordings, presentations, or personal use

We reserve the right to modify, update, or remove features at any time.

4. User Content

Users may import or use audio files within the App ("User Content").

You retain ownership of any audio files you add to the App.

However, by using the App you represent and warrant that:

• You have the legal rights to use the audio content
• Your content does not violate copyright, trademark, or intellectual property rights
• Your content does not violate any laws

Nick Nimmin, LLC does not claim ownership of User Content and does not monitor audio imported by users.

You are solely responsible for any content you use within the App.

5. Copyright and Intellectual Property

The App, including its design, code, interface, graphics, and branding, is the property of Nick Nimmin, LLC and is protected by copyright, trademark, and intellectual property laws.

You may not use our trademarks, logos, or branding without written permission.

6. Prohibited Use

You agree not to use the App to:

• Violate any laws or regulations
• Infringe on intellectual property rights
• Harass, threaten, or harm others
• Distribute malicious software
• Attempt to disrupt or interfere with the App's functionality

Violation of these terms may result in suspension or termination of access.

7. Subscriptions and In-App Purchases

Some features of AudioPads may require a subscription or one-time purchase through Apple’s App Store.

All payments are processed through Apple.

Subscription terms:

• Subscriptions automatically renew unless canceled
• Payment is charged to your Apple ID account
• Renewal charges occur within 24 hours before the end of the billing period
• You can manage or cancel subscriptions in your Apple account settings

Nick Nimmin, LLC does not control Apple’s billing systems.

8. Updates and Changes

We may release updates to improve performance, add features, or address security issues.

You agree that updates may be installed automatically or required for continued use of the App.

9. Third-Party Services

The App may integrate with or link to third-party services.

We are not responsible for the policies, practices, or content of third-party services.

Use of those services is governed by their own terms.

10. Disclaimer of Warranties

The App is provided "as is" and "as available."

Nick Nimmin, LLC makes no warranties regarding:

• Reliability
• Availability
• Accuracy
• Fitness for a particular purpose

We do not guarantee the App will be uninterrupted or error-free.

11. Limitation of Liability

To the maximum extent permitted by law, Nick Nimmin, LLC shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from:

• Use or inability to use the App
• Loss of data
• Device malfunction
• Business interruption

Our total liability shall not exceed the amount you paid for the App (if any).

12. Termination

We reserve the right to suspend or terminate access to the App at our discretion if users violate these Terms.

You may stop using the App at any time by uninstalling it.

13. Apple App Store Terms

These Terms are between you and Nick Nimmin, LLC, not Apple.

Apple is not responsible for:

• The App
• Maintenance or support
• Warranty claims
• Legal claims related to the App

Apple and its subsidiaries are third-party beneficiaries of these Terms and may enforce them.

14. Changes to These Terms

We may update these Terms periodically.

If changes are significant, we may notify users through the App or through other means.

Continued use of the App after changes means you accept the updated Terms.

15. Governing Law

These Terms shall be governed by and interpreted in accordance with the laws of the jurisdiction in which Nick Nimmin, LLC operates, without regard to conflict of law principles.
